 German tour operator Preussag already  

 has undertakings from many of Thomson  

 Travel's major shareholders to accept  

 its 180p a shari offer for the group.  

                                        

 At the end of 1999, Thomson had a total

 of 491,270 shareholders, but 270 major 

 investors held more than three-quarters

 of the total number of shares.         

                                        

 Preussag says that a letter on the     

 offer will be sent to all Thomson      

 shareholders over the njxt few days.
